  • Deal structuring. Staged share transfers, earn-outs, deferred consideration and partial stake sales.

  • Deal documents. Teasers, information memoranda, letters of intent and heads of terms.

M&A advisory FAQ

What size of deal do you advise on? Typically AED 1 million to AED 50 million enterprise value.

Do you advise buyers as well as sellers? Yes. Our buy-side service finds and evaluates targets, including businesses that are not on the market.

How are businesses valued in the UAE? Most SMEs are valued on a multiple of adjusted EBITDA. The multiple depends on sector, size, growth, customer concentration and owner dependence. Asset-heavy or high-growth businesses may also be valued on assets or revenue.
